TERMS AND CONDITIONS OF USE FOR EMPOWER LEP COURSES, TRAININGS, MENTORSHIP, RESOURCES, AND RELATED MATERIALS
This Terms and Conditions o f Use Agreement ("Agreement") is a legally binding agreement between you ("you," "your," "customer," "client," "user," or "users") and Empower LEP ("us," "we," "our," "Owner," or "Company"). This Agreement sets forth the terms and conditions for your access and use of all Empower LEP products, including but not limited to courses, trainings, resources, templates, mentorship, advice, virtual events, and related materials ("Products"). By using the Products, you acknowledge and agree to be bound by the terms of this Agreement.
1. ACCEPTANCE OF TERMS
Your agreement to these terms becomes effective upon signing this Agreement and/or providing full or partial payment for the Product. You agree that this Agreement is binding and can only be terminated as outlined below. Empower LEP reserves the right to update, modify, or amend this Agreement at any time. Any such changes will be effective upon posting on the platform or notification via email. It is your responsibility to review the terms periodically. Continued use of the Product constitutes your acceptance of any modified terms.
2. DISCLAIMER AND LIMITATION OF LIABILITY
No Guarantees or Promises: Empower LEP makes no representations, warranties, or guarantees regarding any outcome or result, including but not limited to the results of exams, certifications, or business performance that may arise from your use of the Product. You expressly acknowledge and agree that your success in any exam, certification, or business endeavor depends on a variety of factors that are beyond the control of Empower LEP.
By using the Product, you assume all risk associated with your participation, including but not limited to any loss, financial hardship, failure to pass any exams, or failure to achieve business success.
To the fullest extent permitted by law, Empower LEP disclaims all liability for any direct, indirect, incidental, special, punitive, or consequential damages arising from your use or inability to use the Product, even if advised of the possibility of such damages. If any limitation on liability is found unenforceable, our liability to you shall not exceed the amount you paid for the Product.
3. NO PROFESSIONAL-CLIENT RELATIONSHIP
Your purchase of the Product does not establish any form of professional-client relationship, including but not limited to legal, financial, accounting, or psychological advice. The information provided in the Product is for educational and informational purposes only, and you agree to seek independent professional advice as needed.
4. RESULTS DISCLAIMER
You understand and agree that no specific results, including passing any exam or improving business success, are guaranteed by Empower LEP. Any testimonials or examples of success shared within the Product are not to be construed as a promise or indication of similar results for you.
Any statements regarding income, business growth, or exam performance are estimates of what we think you can achieve, but they do not guarantee specific outcomes. You acknowledge that your success depends on your efforts, skills, and the unique factors related to your situation. Empower LEP cannot and does not guarantee any specific results from the use of its Products, and you expressly acknowledge and agree that Empower LEP shall not be liable for your success or failure.
5. INTELLECTUAL PROPERTY - LICENSE AND PROTECTION
All materials provided in the Product, including but not limited to course materials, templates, videos, documents, and written content, are the intellectual property of Empower LEP. By purchasing the Product, you are granted a limited, non-exclusive, non-transferable, revocable license to use the Product for your personal use.
You are expressly prohibited from copying, sharing, distributing, reproducing, or creating derivative works from the Product, whether for commercial or non-commercial purposes, without prior written consent from Empower LEP.
Prohibited Uses: You agree that you will not, under any circumstances:
- Resell, distribute, or transfer the Product to any third party.
- Develop a competing product or business based on the content, methods, or information provided by Empower LEP.
- Share any proprietary information, templates, or strategies learned from the Product with individuals or businesses in a similar or competing field.
Violation of these terms may result in immediate termination of your access to the Product and legal action, including but not limited to claims for damages and enforcement of intellectual property rights under applicable law, including California's robust intellectual property protections.
6. PRODUCT ACCESS AND PAYMENT TERMS
The Product is delivered via digital means on the Kajabi platform, or any other platform of Empower LEP’s choosing. The Owner reserves the right to change the delivery platform at any time, provided that the substitute platform offers similar functionality.
Lifetime Access: Purchase grants you access to the Product for the lifetime of the Product, which refers to the period during which the Product is made available by Empower LEP. Empower LEP reserves the right to discontinue or terminate the Product at any time, and access will cease upon such discontinuation. Your access to the Product is also contingent upon continued adherence to the terms of this Agreement.
Payment Plans: If you select a payment plan, you will receive access to the Product incrementally as long as you are current with your scheduled payments. You will continue to have access to the Product while payments are up to date. If a scheduled payment is missed or fails, access to the Product will be suspended immediately. If the payment issue is not resolved within five business days, access will be permanently revoked, and no further access to the Product will be granted. Full access to the Product will only be granted once all payments under the payment plan are completed.
7. THIRD-PARTY EXPERTS AND CONTRIBUTORS
From time to time, Empower LEP may invite external experts, speakers, presenters, or contributors, including but not limited to financial experts, legal professionals, or other specialists, to provide information, training, or resources as part of the Product. These individuals or entities are not employees, agents, or representatives of Empower LEP, and Empower LEP does not endorse, warrant, or assume responsibility for any advice, opinions, information, or services provided by these third parties.
No Liability for Third-Party Content: You acknowledge and agree that Empower LEP is not responsible or liable for any statements, advice, opinions, or actions of third-party experts, speakers, presenters, or contributors. Any reliance you place on such content is solely at your own risk, and you agree to seek independent professional advice where necessary.
This disclaimer extends to any content, information, or materials provided during live events, virtual meetings, or within digital resources associated with the Product.
8. CONFIDENTIALITY
You agree that all information provided by Empower LEP, including materials, business strategies, templates, and content, is confidential and proprietary. You further agree not to disclose any such information to third parties or use it for purposes other than those permitted by this Agreement.
Additionally, if you participate in any group mentorship, training, or virtual events, you agree to keep confidential any personal, business, or financial information shared by other participants.
9. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Empower LEP and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your use of the Product or your violation of this Agreement.
10. FORCE MAJEURE
Empower LEP shall not be liable for any failure or delay in performance of its obligations under this Agreement due to events beyond its reasonable control, including but not limited to acts of God, pandemics, governmental actions, or technological disruptions.
11. SEVERABILITY
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12. GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with the laws of the State of California. Any disputes arising out of or related to this Agreement shall be resolved through binding arbitration administered by the Judicial Arbitration and Mediation Services (JAMS) in Santa Clara County, California.
13. WAIVER
The failure of Empower LEP to enforce any provision of this Agreement shall not be deemed a waiver of its right to enforce that or any other provision.
14. NON-DISPARAGEMENT
You agree not to make any disparaging remarks about Empower LEP, its products, or its services that could negatively impact its business or reputation. However, nothing in this section shall prevent you from making truthful statements as required by law.
15. ATTORNEYS' FEES
In the event Empower LEP is required to enforce any terms of this Agreement, it shall be entitled to recover its reasonable attorneys' fees and costs from you, including fees incurred in connection with collection of unpaid amounts.
